This session will examine how parties determine which form contract governs negotiations—whether developed by an industry group or a major commercial entity—and the potential commercial advantages of beginning with one party’s preferred form. Speakers will discuss strategies for maintaining consistency and completeness when working from unfamiliar contract templates and how to manage conflicts between form documents, work orders, tariffs, and online terms. The session will conclude with best practices for resolving these “battle of the forms” challenges to ensure clarity, fairness, and enforceability in oil and gas agreements.

MACKENZIE SMITH is a Senior Attorney at Devon Energy in Oklahoma City. Her practice focuses on oil and gas transactional work, including drafting and negotiating a wide range of service-related agreements, such as master service and supply agreements, drilling contracts, software contracts, and nondisclosure agreements. She routinely advises on transactions relating to upstream oil and gas assets, including drafting and negotiating exchange agreements and related documents. Prior to joining Devon Energy, Mackenzie was an attorney at McAfee & Taft in Oklahoma City, where she represented and advised operators and service providers in the oil and gas industry. She graduated summa cum laude from Oklahoma City University School of Law in 2017 and holds a Bachelor of Arts in History from Oklahoma State University.
